INTRODUCTION TO MDMI GROUP

MDMI Group was co-founded by Mr. Rick Goossen and Mr. James R. Elliott in late 2003 to provide corporate finance and strategic planning services to emerging technology companies in the health care sector.

Mr. Rick Goossen is Chief Executive Officer (“CEO”) and Mr. Jim Elliott is Chief Technology Officer (“CTO”). Additional leading medical and finance specialists throughout the world will be added as officers or advisors to MDMI Group; this expertise will then be available in the future to the client-partners of MDMI Group.

MDMI Group has been appointed to act as the “Chief Executive Committee” of MDMI Technologies Inc. (the “Company”). The role of MDMI Group is to lead the Company to becoming a world leader in the medical device industry.

In order to progress towards this ambitious goal, MDMI Group is overseeing and implementing a two-year strategic plan to obtain ongoing expansion capital, which will supplement the existing and growing revenue streams of the Company. In addition, MDMI Group is planning towards a public listing of the Company (although such an eventuality cannot be guaranteed).

MDMI Group will assist the Company in achieving its large-scale plans by apply its strategic and technical expertise in the following ways:

• Pursue and negotiate financing options with banks, investments banks, underwriters and other financing alternatives;
• Provide presentations and liaison with respect to financing sources and health care industry analysts;
• Oversee and prioritise a long-range strategy for expansion internationally, with immediate focus on Europe, the United States and Asia;
• Oversee and direct activities related to business development;
• Coordinate and monitor the contributions of professional advisors; and
• Coordinate, prioritise and review mergers & acquisition opportunities.
